Welcome to Thornwood Digital. By accessing and using our services, you agree to the following Terms of Service. Please read them carefully. These terms are legally binding and outline the rights and obligations of both parties.
1. Services Overview
Thornwood Digital specializes in custom website development, hosting, and design consultation. All services are provided under the terms outlined below.
2. Payments & Fees
- Payment Due: Full payment for services is required within two (2) business days from sign-up.
- Refund Policy: Payments are 50% refundable until design sign-off. Once the design is approved, no refunds will be issued for completed work.
- Revisions: Clients are entitled to two (2) design revisions. Additional revisions may incur extra charges at our discretion.
- Hosting Fees: Hosting is billed monthly based on the selected hosting plan:
- Basic Hosting: $100/month
- Professional Hosting: $350/month
- Premium Care Hosting: $750/month
- Third-Party Costs: Clients are responsible for any third-party fees, such as plugin or software licenses required for their project.
3. Project Scope & Modifications
The agreed scope of work will be outlined in a detailed proposal prior to the project start. Any requests outside the initial scope may result in additional charges.
Any mid-project modifications must be communicated in writing and may be subject to extra charges.
4. Client Responsibilities
Clients are responsible for providing timely feedback, content, logos, branding assets, and any other necessary materials for the successful completion of the project. Any delays in providing required materials may result in project timeline adjustments.
5. Liability & Warranties
- No Guarantees: Thornwood Digital does not guarantee specific results from the websites or services provided. Performance depends on many factors outside our control, including user behavior and third-party platforms.
- Third-Party Tools: Thornwood Digital is not liable for the performance or security of third-party plugins, software, or tools used on your website. Clients assume all responsibility for ensuring they comply with third-party terms and updates.
- Service Availability: Thornwood Digital will take all reasonable steps to provide uninterrupted access to your website, but we cannot guarantee continuous operation or uptime. We are not responsible for downtime caused by server issues, third-party service outages, or other factors beyond our control.
6. Intellectual Property
- Ownership: Upon full payment, all design assets, content, and deliverables created specifically for your project become your property. Thornwood Digital retains the right to use any project as part of our portfolio unless otherwise agreed upon.
- Pre-Existing Materials: Thornwood Digital retains all intellectual property rights for any code, templates, or tools used in the project that were developed prior to the engagement.
7. Termination & Cancellation
- Client-Initiated Termination: Clients may terminate services at any time by providing written notice. If terminated after design sign-off, no refunds will be issued for completed work.
- Thornwood Digital-Initiated Termination: We reserve the right to terminate services if clients violate these terms or fail to provide necessary materials in a timely manner. No refunds will be provided in cases of client violation.
8. Indemnification
Clients agree to indemnify and hold Thornwood Digital, its employees, and contractors harmless from any claims, damages, liabilities, or expenses arising out of the use of our services, including but not limited to third-party claims for website content or functionality.
9. Limitation of Liability
In no event will Thornwood Digital be liable for any direct, indirect, incidental, or consequential damages, including but not limited to lost profits, lost data, or business interruptions arising from the use or inability to use our services, even if Thornwood Digital has been advised of the possibility of such damages.
10. Governing Law
These terms are governed by and construed in accordance with the laws of the state of Utah. Any disputes arising from or related to these terms shall be subject to the exclusive jurisdiction of the courts of Utah.
11. Changes to Terms
Thornwood Digital reserves the right to modify these terms at any time. Any changes will be posted on this page, and continued use of our services constitutes acceptance of the updated terms.
